Service Level Agreement (SLA) for using CDMS SaaS

1. Scope of Agreement

This Service Level Agreement ("Agreement") governs the use of the Compliance Data Management System (CDMS) service ("Services") provided by RCA InfoTech. By subscribing to the Services, you agree to comply with the terms and conditions set forth in this Agreement. If you do not agree to these terms or lack the authority to bind your company, do not use the Services.

2. Hosting and Availability

The Services are hosted on third-party servers, such as Amazon Web Services (AWS). We will make commercially reasonable efforts to ensure uptime and availability, but you acknowledge that availability is subject to third-party hosting conditions.

3. Data Collection and Responsibility

Customers are responsible for setting up their initial data such as users, logbooks and assets, collecting data manually through the provided device application and uploading it via their network to the CDMS. We are not liable for any data loss or corruption occurring on the device or during transmission to the CDMS, as there is no way to verify the existence or accuracy of such data before it reaches our platform.

4. Service Performance

We will strive to maintain service performance as described below:

Uptime Commitment:

99.5% availability of our service, excluding planned maintenance.

Maintenance Window:

We reserve the right to perform maintenance and roll out new versions of the Services at our convenience, with reasonable prior notice where possible.

Support Response Time:

We will respond to critical issues within 4 to 8 hours of notification.

5. Intellectual Property Protection

The CDMS Services, including all software, code, reports and intellectual property, are our sole property. Any reverse engineering, unauthorized access, or use of our intellectual property is strictly prohibited and will be subject to legal action. You may not use the Services to infringe upon our intellectual property or engage in any unlawful activity directly or indirectly.

6. Late Payments

Payment for the Services is due as per the agreed-upon subscription terms. Failure to make timely payments may result in service suspension, and we reserve the right to charge interest on overdue payments at a rate of 1.5% per month or the highest rate allowed by law. Services will resume only upon receipt of all outstanding payments.

7. Service Updates

We reserve the right to update the Services, including releasing new versions or features, at our discretion. Customers will be informed of significant changes, but the timing and rollout of such updates will be determined solely by us.

8. Limitation of Liability

We are not responsible for any indirect, incidental, or consequential damages that may arise from your use of the Services. Your sole remedy for any dissatisfaction with the Services is to stop using them.

9. Unlawful Use

You agree not to use the Services for any unlawful purposes or activities that violate local, state, national, or international laws. Any use of the Services in violation of these terms will result in immediate termination of your account.

10. Termination

We reserve the right to terminate this Agreement and your use of the Services if you breach any of the terms herein, including but not limited to failure to pay, unlawful use, or intellectual property violations.
